Becker’s Hospital Review recently reported that private equity healthcare services deal count fell 18.5% year-over-year in the second quarter of 2026.

Physician practice management deals fell from 111 to 71 – a 35.8% decline – and marked a third straight quarterly drop. Generalist and multispecialty provider activity is on pace to finish 2026 54.4% below 2025 levels.

That is not a reason for independent physician groups to panic.

It is a reason to run a great practice.

A transaction cannot be the operating plan. When fewer buyers are active, capital is more expensive, scrutiny is higher, and timelines are longer, an average business has fewer credible paths.

A great practice creates its own leverage.

It has clear governance and disciplined decision-making.

It has management depth beyond one or two indispensable people.

It produces reliable financial performance and understands what drives it.

It recruits and retains strong physicians and staff.

It builds scalable systems, protects its culture, and addresses succession before succession becomes a crisis.

Those capabilities make independence more durable. They also make a practice more attractive to the right strategic or financial partner if the physicians eventually choose that path.

The market may recover. Deal activity may accelerate again. But leadership teams cannot control interest rates, buyer appetite, regulation, or the timing of the next cycle.

They can control the quality of the organization they are building.

If the market improves, a great practice negotiates from strength. If activity remains soft, it still has a resilient, valuable organization that physicians want to own, clinicians want to join, and patients trust.

Optionality is not having a buyer waiting.

It is having an organization strong enough to choose its future – even when the market changes.
